Good morning!

Canada’s next power couple comes with power lines: Emera and Canadian Utilities / ATCO have agreed to join forces through a utility mega deal.

Axium and AltaGas are behind separate utility acquisitions in Michigan, while CPP Investments is making connections of its own through a fibre JV with AT&T.

The newswires are buzzing this morning.

Let’s get into it.

MARKET RUNDOWN

Yesterday’s Close

Market Performance
  • Easing Treasury yields and steadier oil helped the S&P 500 and Nasdaq reach record closes.

  • Google’s 20-year nuclear power deal with Constellation Energy to power the AI build-out boosted U.S. power stocks.

  • The TSX gained +0.4% as utilities climbed and recovering gold prices supported metal miners.

BRIEF OF THE DAY

Emera to Acquire Canadian Utilities and ATCO, Creating a $72B Utility Giant

Emera, Canadian Utilities, ATCO Deal

The deal: Halifax-based electricity & natural gas utility Emera (TSX:EMA) agreed to acquire Calgary-based electricity & gas provider Canadian Utilities (TSX:CU) and its parent, ATCO (TSX:ACO.X), in an all-stock deal. ATCO, a Calgary-based energy & industrial group, holds its utility business through its 52.4% controlling stake in Canadian Utilities.

What joins Emera: Canadian Utilities in full. Emera is acquiring ATCO to obtain its Canadian Utilities stake, and buys the remaining common shares from other investors. Canadian Utilities’ common equity is valued at $14.3B; the enlarged Emera would have an enterprise value of ~$72B.

  • The why: Management expects a larger company with earnings across more regions to be better able to finance major electricity & gas projects. The companies’ existing investment plans total $32B through 2030, with Florida and Alberta their largest markets.

“New ATCO” spin-off: ATCO’s non-utility assets (i.e., housing, defence, and other industrial businesses) would form New ATCO, a separate public company led by current ATCO CEO Nancy Southern. Only existing ATCO shareholders would receive New ATCO shares, alongside shares in Emera. Emera would receive no ownership stake in New ATCO.

  • The why: This separate listing would let investors value ATCO’s industrial businesses on their own. Management is targeting opportunities in modular housing, military camps, and services for remote bases as Canada expands its Arctic defences.

❝

💼 Why this matters: Ottawa wants to double Canada’s electricity generation by 2050. Delivering that requires financing the power plants and grids that new data centres, factories, and housing would depend on. This merger is a bet that a larger Canadian utility can better fund that infrastructure expansion.
